Introduction<\/h2><p dir=\"ltr\">1.1. These Terms and Conditions constitute a legally binding agreement (\u201cAgreement\u201d) entered into between you (the \u201cUser\u201d) and Simvify, a trade name registered with Indecopi by the company Comercial Mi Market Per\u00fa EIRL, with Tax ID No. (RUC): 20607629197, located at Calle Vi\u00f1a Marengo 217, Santiago de Surco, Postal Code 15056, Lima, Peru. (\u201cSimvify,\u201d \u201cwe,\u201d \u201cour,\u201d or \u201cus\u201d), regarding your purchase of an international data plan (\u201cData Plan\u201d) associated with a prepaid eSIM (an \u201ceSIM\u201d) from Simvify (the \u201cService\u201d) for use on your personal device (\u201cDevice\u201d).<\/p><p dir=\"ltr\">1.2. Future agreements between the User and Simvify may also be subject to additional terms and conditions or documents that have been posted on our website.<\/p><p dir=\"ltr\">1.3. We recommend that you print a copy of these Terms and Conditions for future reference.<\/p><h2 dir=\"ltr\">2. Registration<\/h2><p dir=\"ltr\">2.1. Users can register to purchase an eSIM through our website. Users must accept the Terms of Use in order to register and purchase an eSIM. Simvify\u2019s Privacy Policy and Cookie Policy will be displayed on the website when Users register to purchase an eSIM.  <\/p><h2 dir=\"ltr\">3. Purchasing an eSIM and activating it<\/h2><p dir=\"ltr\">3.1. If you purchase one of our eSIMs (through our website), you enter into an agreement with us for the purchase of the eSIM and agree to pay us all applicable charges in accordance with the data plan for the eSIM you purchased.<\/p><p dir=\"ltr\">3.2. As soon as you receive the eSIM, you will be responsible for it. If you damage or lose your Device before you have paid for the eSIM in full, you must pay us the full price of the eSIM. <\/p><p dir=\"ltr\">3.3. You can purchase an eSIM through one of Simvify\u2019s partners (\u201cThird Parties\u201d). If you purchase one of our eSIMs from a Third Party, you enter into an agreement with that Third Party for the purchase of the eSIM, and Simvify is not a party to that agreement. <\/p><p dir=\"ltr\">3.4. Simvify will offer country-specific data plans. Simvify reserves the right to restrict the availability of such data plans in certain jurisdictions. Users can search for, select, and purchase our data plans through the website or through third parties.  <\/p><p dir=\"ltr\">3.5. By using the Service, the User acknowledges that they have an unlocked device that is compatible with eSIM, which is required to access the service.<\/p><h2 dir=\"ltr\">4. Term and Termination<\/h2><p dir=\"ltr\">4.1. This Agreement will take effect once you purchase the eSIM. Once you have downloaded the eSIM to your Device and your Data Plan has been activated, the downloaded eSIM will remain on your Device even after your Data Plan credit has been used up or your Data Plan has expired. You may choose to remove the eSIM at any time through your Device\u2019s settings. However, we recommend that you do not remove the eSIM until your Data Plan has been used up or has expired. Downloading the eSIM and activating any of the Data Plans may require a stable internet connection.    <\/p><p dir=\"ltr\">4.2. This Agreement will remain in effect until the Data Plan expires or until the data allowance included in the purchased Data Plan is used up.<\/p><p dir=\"ltr\">4.3. This Agreement shall be terminated immediately if any of the following circumstances arise:<\/p><p dir=\"ltr\">4.3.1. The User\u2019s use or expiration of the Data Plan in accordance with Section 4.2; or<\/p><p dir=\"ltr\">4.3.2. Suspension of the User\u2019s eSIM or data plan by Simvify due to a breach of these Terms and Conditions (including any violation of applicable law).<\/p><p dir=\"ltr\">4.4. Following termination in accordance with Section 4.3.1, if you do not remove the eSIM from your Device immediately after the Data Plan has been used up or has expired, the eSIM will be provided to you \u201cas is\u201d without any warranty of any kind. Simvify shall have no liability to you for such eSIM pursuant to this Section 4.4 until you purchase any other eSIM or Data Plan, in which case these Terms and Conditions shall apply. <\/p><h2 dir=\"ltr\">5. Warranty<\/h2><p dir=\"ltr\">5.1. These Terms and Conditions are in addition to your legal rights as a consumer.<\/p><p dir=\"ltr\">5.2. Simvify makes no warranties or representations regarding the eSIM or the Service, and all warranties and conditions (except to the extent required by applicable law), whether express or implied by statute, common law, or otherwise, are excluded to the fullest extent permitted by law.<\/p><p dir=\"ltr\">5.3. Simvify reserves the right, at its sole discretion, to discontinue the sale, provision, or support of any eSIM at any time.<\/p><h2 dir=\"ltr\">6. Service Availability<\/h2><p dir=\"ltr\">6.1. Simvify will take all commercially reasonable steps to ensure that the Service is available to you at all times, subject to Simvify\u2019s and its service providers\u2019 ability to maintain network capacity and connection availability.<\/p><p dir=\"ltr\">6.2 Simvify partners with providers to deliver the Service, including network service providers. These vary by jurisdiction. <\/p><p dir=\"ltr\">6.3 If you purchase an \u201cunlimited\u201d data plan, please note that coverage and data speeds may be subject to the network service provider\u2019s fair use policy. This means that, in order to ensure high-quality service for all users, the network service provider reserves the right to impose restrictions or limitations on data usage or speed if such usage is deemed excessive or if it negatively impacts the network performance for other users. <\/p><p dir=\"ltr\">6.4 Simvify does not guarantee network capacity, network quality, or the availability of the Service connection. This includes (but is not limited to) any of the following circumstances: <\/p><p dir=\"ltr\">6.4.1. When our service providers need to perform upgrades, maintenance, or other work on their network services;<\/p><p dir=\"ltr\">6.4.2. When you are in areas not covered by our service providers&#8217; network or in accordance with the areas specified in the Data Plan;<\/p><p dir=\"ltr\">6.4.3. When factors beyond our control cause disruptions, such as those caused by the features or functionality of your Device, regulatory requirements, communication network failures, weather, radio interference, or other physical obstructions.<\/p><h2 dir=\"ltr\">7. User Obligations<\/h2><p dir=\"ltr\">7.1. The User agrees to:<\/p><p dir=\"ltr\">7.1.1. Use the eSIM in accordance with these Terms and Conditions;<\/p><p dir=\"ltr\">7.1.2. Use the eSIM in compliance with all applicable laws and regulations of the country in which the User is located or habitually resides;<\/p><p dir=\"ltr\">7.1.3. Do not use the eSIM to engage in any fraudulent, criminal, or illegal activity, or any activity that causes disruption or damage to the network;<\/p><p dir=\"ltr\">7.1.4. Do not use the eSIM to copy, store, modify, publish, or distribute Simvify\u2019s business information (including trade secrets) unless we give you permission to do so;<\/p><p dir=\"ltr\">7.1.5. Do not use the eSIM to download, send, or upload content that is excessively large, voluminous, or frequent; and<\/p><p dir=\"ltr\">7.1.6. Do not use the eSIM in a way that infringes on the intellectual property rights of a third party.<\/p><p dir=\"ltr\">7.2. The User agrees that no credit, promotion, or reference to the Service (the \u201cPromotions\u201d) shall be used to undermine the fairness, integrity, or legitimate operation of the Service, including, but not limited to, the creation of fake user accounts or the use of fictitious identities to participate in the Promotions for the purpose of obtaining prizes<\/p><p dir=\"ltr\">7.3. The User agrees that Simvify may suspend the Service in the event of a breach of these Terms and Conditions. The User must act responsibly and pay all charges due under these Terms and Conditions with respect to the suspension of the Service. Simvify reserves the right to seek compensation for damages (including legal costs) to the fullest extent permitted by law.  <\/p><p dir=\"ltr\">7.4. Simvify, in its sole discretion and without any liability to the User, reserves the right to delete the User\u2019s account on the website and prevent the User from using the Service in the future or from benefiting from any of the Promotions<\/p><h2 dir=\"ltr\">8. Payment Terms<\/h2><p dir=\"ltr\">8.1. Users can register and purchase the eSIM on the website. Payment will be processed by an authorized Simvify agent. <\/p><p dir=\"ltr\">8.2. All eSIMs are prepaid, and prices include all applicable taxes unless otherwise specified. Taxes will be charged based on the ZIP code provided by the User when entering payment information on Simvify. <\/p><p dir=\"ltr\">8.3. \u201cIndirect taxes\u201d in this Section 8 refer to any sales tax, value-added tax, or any other similar tax or levy that may apply at the time of sale of the data plan associated with an eSIM.<\/p><p dir=\"ltr\">8.4 The User may choose to save their payment method during the checkout process, which is managed by the service provider, so that this information is automatically added for future purchases without the User having to re-enter it. The User may delete the payment method information at any time. This payment method information cannot be modified; if a change is requested, the User must delete the previous payment method and enter the new payment method.  <\/p><h2 dir=\"ltr\">9. Intellectual Property Rights<\/h2><p dir=\"ltr\">9.1. Unless otherwise stated, the eSIM is owned by us (or our licensor), and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the website (collectively, the \u201cContent\u201d) and the trademarks, service marks, and logos contained therein (the \u201cMarks\u201d) are owned by us, are under our control, or are licensed to us, and are protected by copyright and trademark laws and other intellectual property rights.<\/p><p dir=\"ltr\">9.2. Unless expressly stated in these Terms and Conditions, no part of the eSIM, the website, or the Content or Trademarks may be copied, reproduced, aggregated, republished, posted, shared, publicly displayed, encoded, translated, broadcast, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior express written permission.<\/p><h2 dir=\"ltr\">10. Data Protection<\/h2><p dir=\"ltr\">10.1. When you purchase an eSIM, you agree that Simvify will process your personal information (\u201cPersonal Data\u201d) to provide you with the Service, monitor and improve the Service, and prevent unauthorized use of the Service.<\/p><p dir=\"ltr\">10.2. For more information about how we use your personal data, or for any other questions regarding how we process your personal data, please refer to our Privacy Policy and our Cookie Policy.<\/p><h2 dir=\"ltr\">11. Compensation<\/h2><p dir=\"ltr\">11.1. The User agrees to indemnify and hold harmless Simvify and its subsidiaries, affiliates, officers, representatives, partners, employees, and service providers from and against all losses, costs, charges, demands, lawsuits, damages, actions, expenses, and claims incurred by us as a result of:<\/p><p dir=\"ltr\">11.1.1. Any breach by you of these Terms and Conditions; and\/or<\/p><p dir=\"ltr\">11.1.2. Any other matter arising from or related to any use you may make of the Service other than as set forth in these Terms and Conditions<\/p><h2 dir=\"ltr\">12. Limitation of Liability<\/h2><p dir=\"ltr\">12.1. To the extent permitted by law, we exclude all liability (whether in contract, tort, or otherwise) for any loss or damage you may incur in connection with your use of the Service, including the eSIM or any Data Plan. Notwithstanding the foregoing, Simvify\u2019s liability under or in connection with this Agreement, whether arising from contract, tort, or otherwise, shall in no event exceed the amount of charges payable by you to Simvify under the applicable Data Plan in the 12 months prior to the date on which the event giving rise to such liability occurred, or $100 USD; whichever is greater. This does not affect our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, or any other liability that cannot be excluded or limited under applicable law.  <\/p><h2 dir=\"ltr\">13. Applicable Law and Legal Compliance<\/h2><p dir=\"ltr\">13.1. Except as otherwise required by mandatory applicable law: (a) these Terms and Conditions and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of Peru, and (b) the courts of Peru shall have exclusive jurisdiction to resolve any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or their subject matter or formation.  <\/p><p dir=\"ltr\">13.2. Other mandatory laws from other states may also apply to your use of the eSIM.<\/p><p dir=\"ltr\">13.3. The Service and the website are not intended for use by any person or entity in any jurisdiction or country where such use would violate applicable laws or regulations. Consequently, individuals who choose to access the Service and\/or the website from locations where such use is prohibited do so on their own initiative and are solely responsible for complying with local laws, to the extent that such laws apply. <\/p><h2 dir=\"ltr\">14. Changes to these Terms and Conditions<\/h2><p dir=\"ltr\">14.1. We may modify any of the terms of your Agreement or any future terms and conditions, including those related to our Data Plans, as follows:<\/p><p dir=\"ltr\">14.1.1. Any updates to the Terms and Conditions and the addition of new terms will be available on our website;<\/p><p dir=\"ltr\">14.1.2. We will notify you of any changes to this Agreement through the appropriate notice. You are free to stop using the Service after receiving such notice, except in the following situations: (a) when the change is solely to your benefit; (b) when the change is of a purely administrative nature; or (c) when the change is required by applicable law.    <\/p><p dir=\"ltr\">14.1.3. If you continue to use the Service after the amendment to this Agreement takes effect, you will be deemed to have accepted the amendment.<\/p><h2 dir=\"ltr\">15. General<\/h2><p dir=\"ltr\">15.1. Simvify may assign, transfer, or subrogate to any company within its group the rights and obligations arising from this Agreement without the User\u2019s express consent and authorization.<\/p><p dir=\"ltr\">15.2. If at any time any provision of this Agreement (or part of any provision) is or becomes illegal, void, or unenforceable, but would be legal, valid, and enforceable if any part of it were deleted or modified, the provision or part of the provision in question shall be enforced with such deletions or modifications as are necessary to make the provision legal, valid, and enforceable.<\/p><p dir=\"ltr\">15.3. No failure or delay by either party in exercising any right or remedy under this Agreement shall be construed as a waiver of such right or remedy, nor shall any single or partial exercise of any right or remedy preclude the subsequent exercise of such right or remedy. No waiver by either party of any breach by the other party of any provision of this Agreement shall be deemed a waiver of any prior or subsequent breaches. The rights and remedies provided for in this Agreement are cumulative and do not exclude any rights or remedies provided by law.  <\/p><h2 dir=\"ltr\">16. Refund Policy <\/h2><p dir=\"ltr\">Simvify&#8217;s Return Policy allows you to receive a refund for the amount paid if you are unable to use the service due to service failures, subject to the following conditions and procedures.<\/p><ol><li dir=\"ltr\" aria-level=\"1\"><p dir=\"ltr\" role=\"presentation\">The customer must notify Simvify (support line) of the issue (as soon as it arises).<\/p><\/li><li dir=\"ltr\" aria-level=\"1\"><p dir=\"ltr\" role=\"presentation\">The Simvify support team will take over the case and provide the user with the necessary instructions to determine the cause of the issue.
